Sendam charle Terms of Use

These Terms of Use govern your access to and use of the SendAm mobile application, website, and related services, including ride-hailing, food delivery, and package delivery.

Please read these Terms carefully. By creating an account or using the Platform, you agree to be bound by them.

1. Introduction / Acceptance of Terms

Welcome to SendAm Chale ("SendAm," "we," "our," or "us").

These Terms of Use ("Terms") govern your access to and use of the SendAm mobile application, website, and related services (collectively, the "Platform"), including ride-hailing, food delivery, and package delivery services.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

Scope of these Terms

These Terms apply to your use of the SendAm Platform, including ride-hailing, food delivery, and package delivery services made available through our mobile application and website.

You represent and warrant that:

  • You are at least 18 years old, or the legal age required to form a binding contract under the laws of the Ghana;
  • You have the legal capacity to enter into and comply with these Terms;
  • All information you provide to SendAm is accurate, complete, and up to date.

If you are using the Platform on behalf of a business or another person, you confirm that you are authorized to bind that entity or person to these Terms.

SendAm reserves the right to update or modify these Terms at any time. Where required, we will notify you of material changes. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

2. Description of Services

SendAm Chale ("SendAm," "Sendam charle," "we," "our," or "us") provides a technology platform that connects users with independent service providers for on-demand services.

Through the SendAm Platform, users may request and access services including, but not limited to:

  • Ride-hailing (transportation services provided by independent drivers);
  • Food delivery (orders fulfilled by independent merchants and delivered by drivers/riders);
  • Package delivery (transport of goods between locations by drivers/riders).

SendAm does not provide transportation, delivery, or food services directly. Instead, SendAm acts solely as an intermediary platform that facilitates connections between:

  • Customers requesting services; and
  • Independent drivers, riders, and merchants who provide those services.

All services are provided by independent third parties who are not employees, agents, or representatives of SendAm. As such:

  • SendAm does not guarantee the availability, quality, safety, or legality of services provided by third parties;
  • SendAm is not responsible for the actions, omissions, or conduct of any driver, rider, merchant, or user;
  • Any agreement for services is made directly between the customer and the independent service provider.

While SendAm may implement standards, guidelines, and verification processes for drivers, riders, and merchants, such measures do not constitute any form of control over or responsibility for the services they provide.

SendAm may update, modify, add, or remove services or features from the Platform at any time, without prior notice.

3. User Accounts

To access and use certain features of the SendAm Platform, you must create and maintain an active user account.

3.1 Account Registration

You may be required to register for an account using your phone number and/or other identifying information. During registration, you agree to provide accurate, current, and complete information and to keep such information updated at all times.

You are responsible for ensuring that your account information remains truthful and up to date.

3.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account, including any verification codes (such as one-time passwords (OTP)) used to access the Platform.

You agree:

  • Not to share your account or login credentials with any third party;
  • To notify SendAm immediately of any unauthorized access or suspected breach of your account;
  • That any activity conducted through your account will be deemed to have been authorized by you unless proven otherwise.

SendAm shall not be liable for any loss or damage arising from unauthorized use of your account due to your failure to safeguard your access credentials.

3.3 Account Use Restrictions

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Create multiple accounts for fraudulent or abusive purposes;
  • Impersonate another person or provide false identity information;
  • Use the Platform to engage in illegal activities or transactions.

3.4 Account Suspension and Termination

SendAm reserves the right, at its sole discretion, to suspend, restrict, or terminate your account at any time, with or without notice, if:

  • You violate these Terms;
  • We suspect fraudulent, abusive, or unlawful activity;
  • Your account poses a risk to other users, service providers, or the Platform.

Where appropriate, SendAm may investigate and take legal action in response to violations.

3.5 Account Deletion

You may request to deactivate or delete your account at any time by contacting SendAm support. Certain information may be retained as required by law, for legitimate business purposes, or as outlined in our Privacy Policy.

4. User Responsibilities

By accessing or using the SendAm Platform, you agree to use the services responsibly, lawfully, and in accordance with these Terms.

4.1 Lawful Use

You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations of Ghana. You must not use the Platform in any way that could harm, disable, disrupt, or impair the Platform or interfere with other users.

4.2 Respectful Conduct

You agree to treat drivers, riders, merchants, and other users with respect. You must not:

  • Engage in abusive, threatening, discriminatory, or violent behavior;
  • Harass or intimidate any service provider or user;
  • Engage in unsafe or inappropriate conduct during any ride or delivery.

SendAm maintains a zero-tolerance policy for harassment, abuse, or unsafe behavior.

4.3 Accurate Information

You agree to provide accurate and complete information when:

  • Requesting rides or deliveries;
  • Entering pickup and drop-off locations;
  • Providing contact or payment details.

You are responsible for any issues, delays, or additional costs resulting from inaccurate or incomplete information.

4.4 Proper Use of Services

You agree to use the Platform only for its intended purposes. You must not:

  • Make false or fraudulent requests;
  • Intentionally cancel requests repeatedly or abuse the cancellation system;
  • Use the Platform to transport illegal goods or prohibited items;
  • Use the Platform for unauthorized commercial activities without approval.

4.5 Safety Obligations

You are responsible for your own safety while using the Platform. You agree to:

  • Verify the identity of the driver or rider before starting a trip or handing over goods;
  • Follow reasonable safety guidelines provided by SendAm;
  • Immediately report any safety concerns or incidents.

4.6 Compliance with Platform Policies

You agree to comply with any additional guidelines, rules, or policies issued by SendAm from time to time, including safety standards, community guidelines, and service-specific requirements.

Failure to comply with these responsibilities may result in suspension or termination of your account, as outlined in these Terms.

5. Driver / Vendor Terms

5.1 Independent Contractors

Drivers, riders, and merchants ("Service Providers") who offer services through the SendAm Platform are independent contractors and not employees, agents, partners, or representatives of SendAm.

Nothing in these Terms shall be construed as creating any employment, partnership, joint venture, or agency relationship between SendAm and any Service Provider.

5.2 Responsibility for Services

Service Providers are solely responsible for the services they offer and perform, including but not limited to:

  • Transportation services;
  • Food preparation, quality, and safety;
  • Package handling and delivery;
  • Compliance with applicable laws, licenses, and regulatory requirements in Ghana.

SendAm does not control, direct, or supervise the day-to-day activities of Service Providers.

5.3 No Guarantee of Service Quality or Availability

SendAm does not guarantee:

  • The availability of any Service Provider at any given time;
  • The quality, safety, timeliness, or suitability of services provided;
  • That service will meet your expectations or requirements.

All service arrangements are made directly between the user and the Service Provider.

5.4 Pricing and Payments

Service Providers may receive compensation for services rendered through the Platform, subject to applicable commissions, fees, and payment processing arrangements set by SendAm.

SendAm facilitates payment collection and may deduct applicable service fees, commissions, or charges before remitting earnings to Service Providers.

5.5 Compliance and Conduct

Service Providers are expected to meet minimum standards set by SendAm, including verification, conduct, and service quality requirements. However, enforcement of such standards does not create control over or responsibility for Service Providers' actions.

SendAm reserves the right to suspend or remove any Service Provider from the Platform for violations of these Terms or applicable policies.

5.6 Disputes Between Users and Service Providers

Any disputes arising between users and Service Providers should be resolved directly between the parties. SendAm may, at its discretion, assist in resolving disputes but is not obligated to do so and does not guarantee any particular outcome.

6. Booking & Service Terms

6.1 Service Requests

Users may request services through the SendAm Platform by providing relevant details, including pickup location, destination, and any additional information required for the requested service.

All service requests are subject to availability of independent Service Providers at the time of the request.

6.2 Matching and Acceptance

Upon submitting a request, the Platform will attempt to match the user with an available Service Provider based on factors such as proximity, availability, and other system criteria.

A service request is only confirmed once it has been accepted by a Service Provider. Until acceptance, no service is guaranteed.

SendAm does not guarantee that a request will be accepted or fulfilled.

6.3 Estimated Time and Pricing

Any estimated arrival times, delivery times, or fare estimates provided through the Platform are indicative only and may vary due to factors such as traffic, weather, route conditions, or Service Provider availability.

Final pricing may differ from initial estimates where applicable, subject to the pricing structure outlined on the Platform.

6.4 User Obligations During Service

You agree to:

  • Be present and ready at the specified pickup location at the agreed time;
  • Provide accurate instructions and contact information;
  • Cooperate reasonably with the Service Provider to enable completion of the service.

Failure to comply may result in delays, cancellation, or additional charges where applicable.

6.5 Verification and Handover

For safety and accuracy, users and Service Providers may be required to verify service details before commencement, including confirming identity, trip details, or delivery information.

Users are responsible for ensuring that goods, items, or passengers are correctly handed over at pickup and delivery points.

6.6 Service Completion

A service is considered completed when:

  • For ride-hailing: the passenger is dropped off at the destination;
  • For delivery services: the item is delivered to the designated recipient or location.

Users are responsible for verifying completion before confirming receipt of services or goods.

6.7 Service Limitations

SendAm may impose limitations on services, including:

  • Geographic service areas within Ghana;
  • Types of goods or services permitted;
  • Availability of certain service categories.

SendAm reserves the right to modify, suspend, or restrict services at any time without prior notice.

7. Pricing & Payments

7.1 Pricing Structure

Prices for services offered through the SendAm Platform are calculated based on applicable factors, which may include:

  • Base fare;
  • Distance traveled;
  • Time taken;
  • Service fees or booking fees;
  • Service type (e.g., ride-hailing, food delivery, package delivery).

All pricing information displayed on the Platform prior to confirming a request is an estimate unless otherwise stated. Final charges may vary based on actual service conditions.

7.2 Service Fees and Charges

SendAm may apply additional service fees, booking fees, or platform charges to each transaction. These fees will be displayed to the user where applicable.

SendAm reserves the right to modify pricing, fees, and charges at any time.

7.3 Payment Methods

Users may pay for services using one or more of the following methods, as made available on the Platform:

  • Cash payments made directly to the Service Provider upon completion of the service;
  • Mobile Money payments;
  • Card payments or other digital payment methods.

Availability of payment methods may vary by service or location.

7.4 Payment Authorization

For digital payments (Mobile Money or card), users may be required to authorize payment before a service is confirmed or completed.

Where applicable:

  • Card payments may be pre-authorized and charged upon completion of the service;
  • Mobile Money payments may be processed before or during the service.

Users are responsible for ensuring sufficient funds are available for payment.

7.5 Failed or Pending Payments

If a digital payment fails:

  • The user may be required to retry the payment or select an alternative payment method;
  • The service may not proceed until payment is successfully completed, where applicable.

If a payment fails after a service has been completed, SendAm reserves the right to:

  • Mark the transaction as unpaid or pending;
  • Restrict the user's account until the outstanding balance is settled;
  • Take reasonable steps to recover the amount owed.

7.6 Receipts and Transaction Records

Upon completion of a transaction, users may receive a receipt or summary of the service, including pricing details, payment method, and transaction reference.

SendAm maintains records of transactions for operational, legal, and customer support purposes.

7.7 Taxes

Prices displayed on the Platform may include or exclude applicable taxes, duties, or government charges as required under the laws of Ghana. Users are responsible for any applicable charges associated with their transactions.

7.8 Disputes and Adjustments

Users may raise disputes regarding charges through SendAm support within a reasonable period after the transaction.

SendAm reserves the right to review and, where appropriate, adjust charges, issue refunds, or take other actions at its sole discretion.

8. Cancellations & Refunds

8.1 Cancellation by Users

Users may cancel a service request at any time before the service has been completed.

However, depending on the timing and circumstances of the cancellation, fees may apply. SendAm reserves the right to introduce and enforce cancellation fees for:

  • Late cancellations after a Service Provider has accepted the request;
  • Repeated or abusive cancellations;
  • Situations where the Service Provider has already arrived at the pickup location.

Any applicable fees will be communicated through the Platform where possible.

8.2 Cancellation by Service Providers

Service Providers may cancel a request before the service begins, subject to providing a reason where required.

Frequent or unjustified cancellations by Service Providers may result in penalties, reduced access to requests, or suspension from the Platform.

8.3 Cancellation by SendAm

SendAm reserves the right to cancel or suspend any request or service at its discretion, including where:

  • There are safety concerns;
  • There is suspected fraud or misuse of the Platform;
  • A service cannot be fulfilled due to availability or operational issues;
  • There are violations of these Terms.

8.4 No-Show Policy

If a user fails to appear at the specified pickup location within a reasonable waiting time, the Service Provider may mark the request as a "no-show" and cancel the service.

SendAm reserves the right to apply fees or take account actions in cases of repeated no-shows.

8.5 Refunds

Refunds, if applicable, will be handled in accordance with SendAm's internal policies.

Users may be eligible for a refund in situations including:

  • Incorrect charges;
  • Service failure or non-delivery;
  • Payment errors or duplicate charges.

Refunds may be issued through the original payment method or an alternative method determined by SendAm.

8.6 Discretion and Final Decision

All decisions regarding cancellations, fees, refunds, and related disputes shall be made at the sole discretion of SendAm, taking into account the circumstances of each case.

SendAm reserves the right to deny refund requests where there is evidence of misuse, abuse, or violation of these Terms.

9. Ratings & Feedback

9.1 Feedback System

The SendAm Platform may allow users and Service Providers to provide ratings, reviews, and feedback following the completion of a service.

This feedback system is intended to promote accountability, improve service quality, and enhance user experience.

9.2 Accuracy and Fair Use

You agree that any ratings, reviews, or feedback you provide will be:

  • Honest and based on your actual experience;
  • Accurate and not misleading;
  • Free from offensive, abusive, or inappropriate content.

You must not submit false reviews, manipulate ratings, or attempt to unfairly influence the reputation of any user or Service Provider.

9.3 Use of Feedback by SendAm

SendAm may use ratings and feedback for purposes including:

  • Monitoring service quality;
  • Improving Platform features and operations;
  • Making decisions regarding account status, including warnings, restrictions, or suspension.

9.4 Content Rights

By submitting feedback, you grant SendAm a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for operational and promotional purposes.

SendAm reserves the right to remove or moderate feedback that violates these Terms or is deemed inappropriate.

9.5 No Obligation to Publish

SendAm is not obligated to publish, maintain, or display any feedback and may remove or restrict access to feedback at its sole discretion.

9.6 Impact on Account Status

Consistently low ratings, repeated complaints, or violations identified through feedback may result in actions including warnings, temporary restrictions, or permanent suspension from the Platform.

10. Prohibited Activities

You agree not to engage in any of the following prohibited activities when using the SendAm Platform:

10.1 Illegal Activities

  • Using the Platform for any unlawful purpose or in violation of any applicable laws or regulations of the Ghana;
  • Transporting, delivering, or facilitating the movement of illegal, hazardous, or prohibited items, including but not limited to drugs, weapons, or stolen goods.

10.2 Fraud and Misrepresentation

  • Providing false or misleading information, including fake identities, incorrect pickup or delivery details, or fraudulent payment information;
  • Attempting to evade payment, including refusing to pay for completed services or using unauthorized payment methods;
  • Creating multiple accounts for deceptive, abusive, or fraudulent purposes.

10.3 Abuse of the Platform

  • Making false, duplicate, or unnecessary service requests;
  • Repeatedly canceling requests without valid reason;
  • Manipulating the system, including attempting to interfere with matching, pricing, or availability features.

10.4 Harassment and Unsafe Conduct

  • Engaging in abusive, threatening, violent, or discriminatory behavior toward any user, Service Provider, or SendAm personnel;
  • Endangering the safety of any individual during a ride or delivery.

10.5 Misuse of Services

  • Using the Platform for unauthorized commercial activities or resale of services without SendAm's approval;
  • Transporting items that are improperly packaged, unsafe, or unsuitable for delivery;
  • Requesting services for purposes that violate SendAm policies or guidelines.

10.6 System Interference and Security Violations

  • Attempting to access, disrupt, or interfere with the Platform's systems, servers, or networks;
  • Using automated tools, bots, or scripts to access or interact with the Platform;
  • Attempting to bypass security features, authentication processes, or usage limits.

10.7 Intellectual Property Violations

Copying, modifying, distributing, or using SendAm's content, branding, or technology without authorization.

10.8 Consequences of Violations

Violation of this section may result in actions including:

  • Immediate suspension or termination of your account;
  • Cancellation of active or pending requests;
  • Forfeiture of any applicable refunds;
  • Reporting to law enforcement authorities where required.

SendAm reserves the right to investigate any suspected violations and take appropriate legal or administrative action at its sole discretion.

11. Suspension & Termination

11.1 Right to Suspend or Terminate

SendAm Chale ("SendAm," "we," "our," or "us") reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Platform at any time, with or without prior notice, for any reason including, but not limited to:

  • Violation of these Terms or any applicable policies;
  • Suspected fraudulent, abusive, or unlawful activity;
  • Conduct that poses a risk to other users, Service Providers, or the Platform;
  • Failure to complete payment obligations.

11.2 Temporary Suspension

SendAm may temporarily suspend accounts while investigating potential violations or resolving disputes. During suspension, you may be restricted from accessing some or all features of the Platform.

11.3 Permanent Termination

In cases of serious or repeated violations, SendAm may permanently terminate your account. Upon termination:

  • You will lose access to your account and all associated services;
  • Any pending or active requests may be canceled;
  • Outstanding balances or obligations may remain enforceable.

11.4 Effect on Payments and Transactions

Termination or suspension does not relieve you of any obligations to pay outstanding fees or charges. SendAm reserves the right to:

  • Recover unpaid amounts through available legal or administrative means;
  • Withhold or adjust payments where fraud, abuse, or violations are identified.

11.5 Reinstatement

SendAm may, at its sole discretion, allow reinstatement of a suspended account following review. Reinstatement is not guaranteed and may be subject to conditions.

11.6 User-Initiated Termination

You may stop using the Platform at any time and may request account deactivation or deletion by contacting SendAm support. Certain data may be retained as required by law or for legitimate business purposes.

11.7 Survival of Terms

Any provisions of these Terms that by their nature should survive suspension or termination (including payment obligations, liability limitations, and dispute provisions) shall remain in effect.

12. Liability Disclaimer

12.1 Platform Role

SendAm Chale ("SendAm," "we," "our," or "us") provides a technology platform that facilitates connections between users and independent Service Providers. SendAm does not provide transportation, delivery, or food services directly and is not a party to the underlying service agreement between users and Service Providers.

12.2 No Guarantees

The Platform and all services are provided on an "as is" and "as available" basis. SendAm makes no representations or warranties of any kind, express or implied, including but not limited to:

  • Availability, reliability, or uninterrupted access to the Platform;
  • Accuracy of estimated times, pricing, or service details;
  • Quality, safety, or suitability of services provided by Service Providers.

12.3 Third-Party Services

All services requested through the Platform are performed by independent Service Providers. SendAm is not responsible for:

  • The conduct, actions, or omissions of any Service Provider or user;
  • The condition, safety, or legality of any vehicle, goods, or food;
  • Any delay, failure, or issue arising from services provided by third parties.

12.4 Service Risks

You acknowledge that use of the Platform involves inherent risks, including risks associated with transportation, delivery, and interactions with third parties. You agree that you use the Platform at your own risk.

12.5 No Liability for Loss or Damage

To the fullest extent permitted under the laws of Ghana, SendAm shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with:

  • Use or inability to use the Platform;
  • Services provided by Service Providers;
  • Delays, cancellations, or service disruptions;
  • Loss, damage, or theft of goods;
  • Personal injury, accidents, or safety incidents.

12.6 User Responsibility

You are responsible for taking reasonable precautions when using the Platform, including verifying service details, ensuring safe handover of goods, and complying with safety guidelines.

Nothing in this section excludes liability where it cannot be excluded under applicable law.

13. Limitation of Liability

To the fullest extent permitted under the laws of Ghana, SendAm Chale ("SendAm," "we," "our," or "us") shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities;
  • Loss or corruption of data;
  • Personal injury or property damage;
  • Emotional distress or inconvenience;
  • Loss, damage, or delay of goods.

13.1 Cap on Liability

Where SendAm is found to be liable for any claim arising out of or related to the use of the Platform, such liability shall be limited to the lesser of:

  • The total amount paid by you for the specific service giving rise to the claim; or
  • An amount determined by applicable law.

13.2 No Liability for Third-Party Actions

SendAm shall not be liable for any acts, omissions, or conduct of any Service Provider, user, or third party, including but not limited to:

  • Accidents or incidents during rides;
  • Quality or safety of food or goods;
  • Delivery errors, delays, or damages.

13.3 Basis of the Bargain

You acknowledge and agree that the limitations of liability set forth in these Terms are a fundamental basis of the agreement between you and SendAm, and that SendAm would not be able to provide the Platform without such limitations.

13.4 Exceptions

Nothing in this section shall limit or exclude liability where such limitation or exclusion is not permitted under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless SendAm Chale ("SendAm," "we," "our," or "us"), its affiliates, directors, officers, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Platform;
  • Your violation of these Terms or any applicable policies;
  • Your breach of any applicable laws or regulations in Ghana;
  • Your interaction with any Service Provider, user, or third party;
  • Any content, information, or materials you provide through the Platform;
  • Any damage, loss, or injury caused by your actions, whether intentional or negligent.

SendAm reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such a case, you agree to cooperate fully with SendAm in the defense of such claims.

This obligation shall survive the suspension, termination, or expiration of your account or use of the Platform.

15. Changes to Terms

SendAm Chale ("SendAm," "Sendam charle," "we," "our," or "us") reserves the right to modify, update, or revise these Terms of Use at any time, at its sole discretion.

Where changes are material, SendAm will make reasonable efforts to notify users through appropriate channels, which may include:

  • In-app notifications;
  • Email or SMS communication;
  • Updates published within the Platform.

Unless otherwise stated, any changes to these Terms will take effect immediately upon being published on the Platform.

By continuing to access or use the Platform after any changes become effective, you agree to be bound by the updated Terms.

If you do not agree to the revised Terms, you must stop using the Platform and may request to deactivate your account.

SendAm encourages users to review these Terms periodically to stay informed of any updates.

16. Governing Law

These Terms of Use and any disputes, claims, or controversies arising out of or in connection with the use of the SendAm Platform shall be governed by and construed in accordance with the laws of Ghana.

You agree that any legal action or proceeding arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Ghana.

Where applicable, you further agree to attempt to resolve any dispute informally with SendAm before initiating formal legal proceedings.

Nothing in this section shall prevent SendAm from seeking injunctive or equitable relief in any jurisdiction where such action is necessary to protect its rights, property, or interests.
